ASACC Trader Terms

These Trader Terms apply to sellers using As Seen At Comic Con (“ASACC”), operated by Red Cape Solutions Ltd.
By registering as a trader and selling through ASACC, you agree to these terms in addition to the general ASACC Terms & Conditions.
1. Trader status
You are responsible for providing accurate registration and business information and for keeping it current.
You are responsible for determining whether you are acting as a business/trader for the purposes of consumer, tax and other applicable laws and for complying with all obligations applying to you.
Acceptance onto ASACC does not constitute endorsement of a trader or their products.
2. ASACC commission
ASACC’s standard marketplace commission is 10% of the seller earning attributable to the sale, unless a different commission arrangement has been expressly agreed with the trader.
Under the standard arrangement, the trader is credited with 90% and ASACC retains 10%, subject to refunds, reversals, chargebacks and any other adjustments properly applicable to the transaction.
Any future change to the standard commission applicable to new transactions will be communicated to affected traders before it takes effect.
3. Seller payouts
ASACC uses Stripe Connect to facilitate eligible trader payouts.
Traders may be required to create or connect a Stripe account and complete Stripe’s identity, business and bank verification requirements.
Stripe may impose its own terms, eligibility requirements and restrictions.
ASACC does not guarantee that Stripe will approve or continue to provide services to any particular trader.
4. 21-day withdrawal threshold
Seller earnings do not become immediately withdrawable.
Under the standard ASACC arrangement, an order must:
- have reached the required Completed status; and
- have satisfied a 21-day withdrawal threshold
before the associated seller earning becomes eligible for a withdrawal request.
This period helps ASACC manage returns, disputes, refunds, fraud and chargebacks.
A displayed seller balance does not necessarily mean that the entire balance is currently eligible for withdrawal.
5. Withdrawal requests
Eligible sellers may request withdrawal using the facilities provided in their ASACC trader dashboard.
ASACC currently operates a manual withdrawal approval process.
We may reasonably delay or decline a withdrawal while investigating a refund, dispute, suspected fraud, chargeback, account restriction or other legitimate issue affecting the relevant transaction or seller account.
6. Refunds, disputes and chargebacks
Where a buyer is entitled to a refund, or where a payment is reversed or charged back, the corresponding seller earning may be reduced, removed, withheld or offset against amounts otherwise due to the seller.
If funds have already been paid to a seller, ASACC may recover or offset amounts properly due in connection with refunds, reversals, chargebacks or other adjustments arising from that seller’s transactions, subject to applicable law.
7. Listings
Traders are responsible for ensuring listings are accurate and include material information a buyer would reasonably need.
This includes:
- product identity;
- condition;
- authenticity;
- price;
- photographs;
- defects;
- completeness;
- grading or authentication information;
- delivery terms; and
- any significant limitations.
Misleading descriptions or photographs are prohibited.
8. Authenticity
Counterfeit and fraudulent goods are prohibited.
A trader describing an item as authentic, signed, graded, certified, limited or possessing particular provenance must have reasonable grounds for that claim.
ASACC may request evidence of authenticity or provenance.
We may remove a listing or suspend an account while concerns are investigated.
9. Intellectual property
Traders are responsible for ensuring that products, photographs, descriptions and other material they upload do not unlawfully infringe third-party intellectual-property rights.
ASACC may remove material following a credible rights complaint or where otherwise reasonably necessary.
10. Fulfilment
Traders are responsible for:
- maintaining accurate stock information;
- securely packaging orders;
- dispatching orders promptly;
- providing accurate delivery information;
- responding reasonably to customer enquiries; and
- resolving problems relating to their products.
Repeated failure to fulfil orders may result in account restrictions or suspension.
11. Consumer law
Business sellers must comply with applicable UK consumer law, including obligations concerning product descriptions, consumer information, cancellations, faulty goods, refunds and unfair trading practices.
These Trader Terms do not override a buyer’s statutory rights.
12. Seller information and HMRC
As a digital marketplace operator, Red Cape Solutions Ltd may be legally required to collect, verify, retain and report information about sellers and their transactions to HMRC.
Traders agree to provide information reasonably required for ASACC to comply with applicable reporting and due-diligence obligations.
Failure to provide legally required information may result in selling or payout facilities being restricted.
HMRC confirms that digital-platform operators may have obligations to collect/check seller information and report seller details, so this isn’t just boilerplate — we genuinely need this provision.
13. Taxes
Traders are responsible for their own tax affairs, including determining and paying any income tax, corporation tax, VAT or other taxes applicable to their activities.
ASACC cannot provide individual tax advice.
14. Prohibited products
Traders must not list products whose sale would be unlawful or which ASACC reasonably determines are unsuitable for the marketplace.
ASACC may remove prohibited or inappropriate listings without waiting for a completed sale.
15. Marketplace standards
ASACC may take proportionate action where a trader:
- repeatedly fails to fulfil orders;
- receives serious or repeated customer complaints;
- lists counterfeit or misleading goods;
- abuses the refund/payment system;
- infringes intellectual-property rights;
- engages in fraudulent activity;
- breaches these terms; or
- creates material risk to ASACC or its users.
Action may include listing removal, payout review, selling restrictions or account suspension.
16. Leaving ASACC
A trader may stop selling through ASACC, but obligations relating to existing orders, returns, refunds, disputes, chargebacks and amounts owed continue until resolved.
17. Changes to these terms
We may update these Trader Terms as the marketplace develops or legal requirements change.
Material changes affecting traders will be communicated reasonably before they take effect where appropriate.
18. Governing law
These Trader Terms are governed by the laws of England and Wales.
